1. Introduction & Acceptance of Terms
Welcome to StudyJam!
These Terms of Service (“Terms”, “Agreement”) govern your access to and use of the StudyJam software-as-a-service (SaaS) platform, website (https://studyjam.in), mobile applications, custom web portals, and associated technical infrastructure (collectively, the “Platform” or “Services”).
The Platform is owned and operated by Codesap Technologies LLP (“Company”, “Codesap”, “StudyJam”, “we”, “our”, or “us”), having its registered office at:

By accessing, registering on, or using our Platform (directly or indirectly in electronic form), you (“User”, “you”, or “your”) acknowledge that you have read, understood, and agreed to be bound by these Terms, our [Privacy Policy], and our [Data Processing Agreement]. If you do not agree with these Terms, you must immediately cease accessing or using the Platform.
2. Definitions & Role Architecture
To ensure clarity, the following expressions have the specified meanings throughout this Agreement:
“Client”: An individual educator, coaching institute, school, university, or corporate entity that registers on the Platform to build, host, manage, and deliver educational content to their learners.
“Authorised Users”: Employees, contractors, or staff members designated by a Client to manage their StudyJam administrative portal, upload content, and coordinate technical support.
“End User” / “Learner”: Students or participants who access a Client’s portal or mobile app to receive educational instruction, complete tests, or view course materials.
“Client Content”: All video lectures, audio files, documents, practice tests, notes, certificates, and branding elements (logos, custom domain names, color schemes) uploaded by Clients or Authorised Users.
“End User Content”: Data, assignments, test answers, feedback, and personal details submitted by End Users while interacting with a Client’s portal.
“User Content”: Refers collectively to Client Content and End User Content.
“User”: Refers collectively to Clients, Authorised Users, End Users, and any individual visiting or interacting with the Platform.
3. Role of StudyJam (Platform Provider & Data Processor)
3.1 Technology Intermediary
StudyJam is strictly an all-in-one SaaS Learning Management System (LMS) technology platform designed to help training businesses, educators, and institutions streamline online educational delivery. StudyJam does not create, sell, endorse, or verify academic content.
3.2 Data Controller vs. Data Processor
Client as Data Controller: The Client acts as the primary Data Controller for all Client Content and End User Personal Data hosted on their portal.
StudyJam as Data Processor: StudyJam operates purely as a Data Processor, handling, encoding, and storing data on behalf of the Client in compliance with applicable Data Protection Laws (including India’s Digital Personal Data Protection Act, 2023).
4. Eligibility & Prohibited Users
4.1 Eligible Users
Clients & Admins: Must be at least 18 years of age or the legal age of majority in your jurisdiction, with full legal capacity to enter into binding contracts.
End Users / Learners: Must be at least 18 years old, OR at least 13 years old with explicit consent from a parent or legal guardian. Minors under 13 are prohibited from creating independent accounts.
4.2 Prohibited Users
You are strictly prohibited from accessing or using StudyJam if:
- You have previously been suspended, banned, or terminated from our Platform.
- You or your business entity are subject to financial sanctions, trade embargoes, or blacklists imposed by the Government of India (DGFT, RBI, MEA) or international authorities.
- You intend to use the Platform for unlawful activities, including fraud, money laundering, copyright infringement, or unauthorized commercial exploitation.
5. Demos, Account Registration & Security
5.1 Product Demonstrations
Clients may request a live platform demonstration (“Demo”). Demos are provided solely for informational purposes to highlight StudyJam’s workflow and features. A Demo does not constitute a guaranteed offer, SLA, or custom development commitment.
5.2 Registration & Verification
- Clients must provide accurate, current, and complete registration details (Business Name, GSTIN if applicable, Email, Phone Number).
- Account verification may be conducted via OTP (Mobile/Email) or two-factor authentication (2FA).
- Clients are fully responsible for managing permissions granted to Authorised Users and ensuring their credentials remain secure.
5.3 Account Security Responsibility
StudyJam shall not be liable for any unauthorized access, loss, or damage resulting from a User’s failure to safeguard their passwords or OTPs. Suspected security breaches must be reported immediately to support@studyjam.in.
6. Subscriptions, Fees, and Payments
6.1 SaaS Subscription Fees
Access to StudyJam services is granted under paid subscription tiers (e.g., active student limits, storage quotas, custom domain setups). Subscription plans, billing cycles, and fee schedules are outlined in your invoice or dashboard.
6.2 Client Payment Processing (Student Fees)
If a Client uses StudyJam to collect tuition or course fees from End Users, all payments are routed directly through third-party payment gateways (e.g., Razorpay, Stripe) configured by the Client. StudyJam is not a party to transactions between Clients and End Users and bears no liability for fee disputes, chargebacks, or student refund requests.
6.3 Non-Payment & Suspension
Failure to pay recurring SaaS subscription fees on time may result in account suspension, restriction of admin features, or termination of the Client’s portal.
7. User Content Guidelines & Responsibilities
7.1 Client Warranties
By uploading Client Content, you represent and warrant that:
- You possess all necessary copyrights, licenses, and legal permissions to distribute the content.
- The content does not infringe upon third-party intellectual property, privacy, or publicity rights.
- The content is free from malware, spyware, viruses, or destructive code.
7.2 Prohibited Content
User Content must NOT:
- Contain defamatory, hateful, abusive, sexually explicit, or unlawful material.
- Promote violence, discrimination, or illegal acts.
- Misrepresent your identity or impersonate any person or institution.
- Share leaked exam keys, pirated textbooks, or facilitate academic dishonesty.
7.3 Content Removal & Monitoring
StudyJam does not pre-screen all uploaded materials. However, as an Intermediary, StudyJam reserves the right (but assumes no obligation) to remove or disable access to any User Content upon receiving valid legal complaints, court orders, or copyright infringement notices.
8. Intellectual Property Rights
8.1 StudyJam Platform IP
All software source code, app interfaces, database structures, graphics, logos, and system documentation associated with StudyJam remain the exclusive intellectual property of Codesap Technologies LLP.
8.2 Client Content Ownership
Clients retain 100% legal ownership and copyright over their course materials, videos, graphics, and student datasets. By hosting content on StudyJam, Clients grant us a worldwide, non-exclusive, royalty-free license solely to transmit, encode, host, and display the content to fulfill service operations.
9. Technical Requirements & Service Availability
Hardware & Connectivity: Users are solely responsible for ensuring that their devices, operating systems, and internet connections meet the technical specifications required to run the StudyJam web and mobile apps.
Service Level Objective: StudyJam aims to maintain high platform uptime. However, temporary downtime may occur for scheduled maintenance, server upgrades, or unexpected cloud host outages.
10. Limitation of Liability & Disclaimers
10.1 Disclaimer of Warranties
THE PLATFORM AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. STUDYJAM DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OF EDUCATIONAL MATERIALS, OR GUARANTEES OF ACADEMIC OUTCOMES.
10.2 Limitation of Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE INDIAN LAW, CODESAP TECHNOLOGIES LLP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA CORRUPTION, OR BUSINESS INTERRUPTION).
11. Indemnification
You agree to defend, indemnify, and hold harmless Codesap Technologies LLP, its partners, officers, employees, and agents from and against any third-party claims, liabilities, losses, damages, or legal costs arising out of:
- Your breach of these Terms or applicable laws.
- Client Content or End User Content hosted on your portal.
- Disputes between Clients and End Users regarding course delivery or student refunds.
12. Governing Law & Dispute Resolution
These Terms shall be governed by, construed, and enforced in accordance with the laws of India.
Any legal suit, action, or proceeding arising out of or relating to these Terms or the StudyJam Platform shall be instituted exclusively in the competent courts located in Kozhikode (Calicut), Kerala, India.
13. Modifications to Terms
StudyJam reserves the right to revise these Terms from time to time. When updates occur, the “Last Updated” date above will be revised. Continued usage of the Platform after modified Terms are posted constitutes your acceptance of the updated terms.
